These Terms of Service ("Terms") govern your use of zebly.com, the Zebly assistant, and related services, apps, and integrations (the "Services") provided by [LEGAL ENTITY] ("Zebly", "we", "us"). By using the Services, you agree to these Terms. If you use the Services for an organization, you agree on its behalf and confirm you have authority to do so.

Please read the arbitration section below. Unless you opt out, it requires disputes to be resolved individually through binding arbitration.

1. Who may use the Services

You must be at least 18 years old and able to form a binding contract. The Services are intended for business and professional use.

2. Your account

You agree to provide accurate information and keep it up to date. You are responsible for your account and for all activity under it, including activity by the assistant under the permissions you grant. Keep your credentials secure. Tell us promptly at support@zebly.com if you believe your account has been compromised. Do not share your account.

3. Using the Services

Inputs, outputs, and actions.

  • Inputs: the instructions, messages, and materials you provide or make available to the Services, including content from services you connect.
  • Outputs: the responses, drafts, summaries, and other content the Services generate.
  • Actions: what the assistant does on your behalf within the permissions and approvals you give. Examples: coordinating with people, sending messages or emails, creating or updating calendar events, and updating documents or tasks in connected tools.

Connected services. When you connect a third-party service (for example Google Workspace, Slack, Granola, Notion, or Linear):

  • Authorization: you authorize Zebly to access that service and to take Actions in it on your behalf, within the permissions you grant.
  • Third-party terms: your use of those services remains subject to their own terms.
  • Revocation: you can revoke access at any time.

Approvals and limits. The assistant is designed to act within limits you set and approve, and to ask when a request is unclear or its limits would change. You are responsible for reviewing what you approve.

Your responsibility. You are responsible for your Inputs, the Actions you authorize, and your use of Outputs, including their consequences. That includes making sure you have the rights and consents needed:

  • to share information with the Services
  • for Zebly to contact the people you ask it to contact

Some Actions, such as sent messages and delivered invitations, cannot be undone.

AI output.

  • Accuracy: Outputs are generated by AI and may be inaccurate, incomplete, or inappropriate. Review them before relying on them.
  • Not advice: Outputs are not legal, financial, medical, or other professional advice.
  • Not unique: other users may receive similar Outputs.
  • No ownership guarantee: we do not guarantee that any intellectual property rights will vest in Outputs.

No training during early access. During early access, we do not use your Inputs, Outputs, connected-service data, or any other information we collect to train, fine-tune, or improve AI models, and we do not permit our service providers to do so. No opt-out is required.

We may change this after early access, on notice to you. Information collected during early access will not be used for training without your consent. Data from Google Workspace and Slack is never used for training. See our Privacy Policy.

4. Early access and fees

The Services are currently offered as an early-access preview. They may change, be limited, or be interrupted, and features may be added or removed.

Early access is currently free. If we introduce fees, we will tell you in advance, and you will not be charged unless you agree.

If you receive access to a confidential preview, please do not share non-public details about it.

5. Privacy and acceptable use

Our Privacy Policy describes how we handle information. You agree not to use the Services, or ask the assistant, to:

  • violate any law or the rights of others
  • send spam or unsolicited bulk messages
  • harass, deceive, or impersonate anyone
  • misrepresent AI-generated content or actions as coming directly from a human when that would mislead
  • interfere with or disrupt the Services or any connected service
  • access data or accounts you are not authorized to access
  • reverse engineer the Services, except where the law allows
  • scrape or bulk-extract data
  • use the Services to build a competing product or to train AI models
  • circumvent usage limits or security measures

We may investigate and act on violations, including by suspending access.

6. Rights we grant you

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes.

7. Ownership

Your content:

  • You keep all rights to your Inputs and, as between you and us, to your Outputs.
  • You grant us a limited license to host, process, transmit, and display them only as needed to provide, secure, and support the Services for you.
  • During early access, this license does not include any right to use them to train AI models.

Our Services: Zebly and its licensors own the Services, including software, design, and the Zebly name and marks. Nothing in these Terms transfers those rights to you.

Feedback: if you send us suggestions, we may use them without obligation to you.

8. Third-party services

The Services interact with third-party services that we do not control. We are not responsible for them, their content, their availability, or how they handle your information. Your dealings with them are between you and them.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICES OR OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, UNINTERRUPTED, OR ERROR-FREE
  • ANY ACTION WILL PRODUCE A PARTICULAR RESULT
  • ANY DATA WILL NOT BE LOST

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • Excluded damages: ZEBLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS.
  • Cap: ZEBLY'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE SIX MONTHS BEFORE THE CLAIM.

11. Indemnification

You will defend, indemnify, and hold Zebly harmless from third-party claims arising from:

  • your breach of these Terms
  • your Inputs
  • Actions you authorized
  • your violation of law or the rights of others

12. Dispute resolution and arbitration

Informal resolution first. Before starting a formal proceeding, contact us at legal@zebly.com and try to resolve the dispute informally for 30 days.

Arbitration. If the dispute isn't resolved informally, it will be resolved by binding individual arbitration administered by [ARBITRATION PROVIDER] under its applicable rules.

These are not subject to arbitration:

  • claims in small-claims court
  • claims for injunctive relief to protect intellectual property or prevent misuse of the Services

Class action waiver. Disputes will be resolved only on an individual basis, not in a class, consolidated, or representative action.

Opt-out. You may opt out of arbitration by emailing legal@zebly.com within 30 days of first accepting these Terms.

13. Suspension and termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access, with or without notice, if:

  • you breach these Terms
  • it is needed to protect the Services or others
  • we discontinue the Services

On termination:

  • Your rights end: your right to use the Services ends.
  • We stop acting for you: we will stop taking Actions on your behalf.
  • Survival: sections that by their nature should survive will survive.

14. Changes to these Terms

We may update these Terms from time to time. We will change the "Last updated" date. If a change is material, we will make reasonable efforts to notify you in advance. Continuing to use the Services after changes take effect means you accept them.

15. General

  • Governing law: these Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law rules.
  • Venue: subject to the arbitration section, disputes will be heard in [VENUE].
  • Entire agreement: these Terms, together with our Privacy Policy, are the entire agreement between you and us about the Services.
  • Severability and waiver: if any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
  • Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Export and sanctions: you may not use the Services in violation of export control or sanctions laws.
